New Relic has added two new directors to the board following a settlement agreement with activist investor Jana Partners.

Kevin Gilligan, a partner at Jana, and Susan Arthur, the CEO of CareerBuilder, will join the board of New Relic with effect from June 13. In addition, the company added Pali Bhat, a leading technologist at Reddit and previously at Google, also with effect from June 13.

“We are pleased with the constructive engagement we have had with Jana, as we do with all shareholders, and welcome Kevin and Susan to the New Relic Board,” New Relic’s lead independent director Hope Cochran said in a statement.

The three new directors will replace James Tolonen, Dan Scholnick and Adam Messinger, who have served on the board between six and 13 years.

The settlement with Jana is New Relic’s second truce with an activist in about a year. Last June, New Relic appointed director Radhakrishnan Mahendran following an agreement with Glenn Welling’s Engaged Capital. In November 2020, the company was profiled as vulnerable to activism by Insightia’s Vulnerability module.

Shares in New Relic are down 53% since the start of the year.
