Healthcare company Humana will add two new independent directors to its board as part of a cooperation agreement with activist Starboard Value.

According to a press release Humana will appoint two new independent directors mutually agreed upon with Starboard. The first will join before Humana’s 2022 annual meeting, while the second will join at the 2023 annual meeting.

As a result, one incumbent director will not stand for re-election at the 2022 meeting, while a second incumbent will not stand for re-election at the 2023 meeting, the company said.

“We appreciate the constructive dialogue we have had with Humana and are pleased to reach this agreement for the benefit of all shareholders,” Starboard’s Jeff Smith was quoted as saying.

It is unclear how large a stake Starboard maintains in Humana. The activist was an investor in 2015, but subsequently sold that stake and as of December 31 had no position in the company, according to regulatory filings.

Starboard has targeted a string of medical industry companies over the years, including eHealth, Merit Medical Systems, and Mednax.
